Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and Tipelodeon ("Tipelodeon," "we," "us," or "our") governing your access to and use of the Tipelodeon website, mobile applications, embeddable widgets, and any related features (together, the "Service"). By creating an account, signing in, sending or receiving a tip, requesting a song, or otherwise using the Service, you agree to these Terms and to our Privacy Policy . If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You must be at least 13 years old (or the equivalent minimum age in your jurisdiction) to use the Service. If you are under the age of majority where you live, you may only use the Service with the involvement of a parent or legal guardian who agrees to these Terms on your behalf.

2. The Service

Tipelodeon is a platform that lets performers accept tipped song requests from their audience, manage charts and setlists, and run live performances. Performers ("Performers") create projects, upload repertoire, and accept requests and tips. Audience members ("Audience Members") interact with a Performer's public project page or embed to request songs and send tips.

We may add, change, or remove features of the Service at any time. We may also offer optional features that depend on third-party services (for example, payment processing, AI-assisted chart analysis, or venue lookup). Your use of those features is also subject to the third party's terms, as referenced below.

3. Performer Accounts

To use the Performer-side features of the Service, you must register for an account. You agree to:

  • provide accurate and complete registration information and keep it current;
  • maintain the security of your password and account credentials;
  • accept responsibility for all activity that occurs under your account; and
  • notify us promptly of any unauthorized use of your account or any other suspected breach of security.

Each Performer account belongs to a single person or legal entity. You may not transfer your account to anyone else without our prior written consent.

4. Audience Profiles

You do not need a Tipelodeon account to request a song or send a tip. When you interact with a Performer as an Audience Member, you create a lightweight audience profile that may include a display name and optional photo. You are responsible for the content of your audience profile and for the requests, tips, and messages you send to Performers through the Service.

5. Fees and Payments

Tipelodeon is free for Performers. There are no subscription fees, plan tiers, or trial periods. Audience Members pay a flat $2 platform fee on top of every digital tip; Performers receive the full tip amount. Cash tips logged through the Service carry no platform fee.

Tips are credited to the Performer at the moment of the request, independent of whether the song is later performed. Audience Members understand and agree that a tip funds the request itself; it is not contingent on a particular song being played, the order in which songs are played, or the duration of the performance.

All fees collected from Audience Members are non-refundable except as required by law or as expressly stated in these Terms. We may change platform fees on a going-forward basis. We will give Performers notice before any change to platform fees takes effect.

6. Payments, Payouts, and Stripe

Tip payments and Performer payouts on the Service are processed by Stripe, Inc. and its affiliates ("Stripe"). By using the digital tipping or payout features of the Service, you agree to be bound by Stripe's Connected Account Agreement (Performers) or Stripe's Services Agreement (Audience Members), as applicable, in addition to these Terms.

Performers are responsible for any taxes that apply to tips they receive. Tipelodeon does not provide tax advice. We may share information with Stripe and applicable tax authorities as required by law, including issuing tax forms where required.

If a chargeback, dispute, or reversal is initiated for a digital tip, we may deduct the disputed amount and any related fees from the Performer's pending or future payouts. If a tip cannot be successfully processed by Stripe, the underlying request may be voided in the Performer's queue.

7. Performer Content and License

You retain ownership of the content you upload to, generate through, or display on the Service, including charts and chart files (PDF, image, and notation formats), lyric sheets, setlists, audio recordings and clips, video, performer photos, project artwork, song metadata, messages, and any other materials you submit ("Performer Content"). The Service is a hosting platform, and Tipelodeon does not review, screen, or pre-approve Performer Content before it is made available.

You are solely and legally responsible for the Performer Content you upload, generate, or display through the Service. You represent and warrant that, for each item of Performer Content:

  • you either own the content or have obtained all rights, licenses, consents, permissions, releases, and clearances necessary to upload it, display it, and grant the license below, including, where applicable, rights from copyright owners, publishers, performing rights organizations, mechanical rights administrators, co-writers, session musicians, sample owners, and any other rightsholders;
  • for charts and chart files (lead sheets, chord charts, lyric sheets, and similar notation), you have the right to reproduce, store, and display the underlying musical composition, lyrics, and any embedded transcriptions or arrangements you uploaded;
  • for audio recordings, clips, and stems, you have the right to upload and display both the sound recording and the underlying composition embodied in it;
  • for photos, artwork, logos, and other images, you have the right to use the image and, where the image depicts an identifiable person, you have obtained any required model release or other consent to use that person's likeness;
  • the Performer Content does not infringe any copyright, trademark, right of publicity, right of privacy, moral right, contract, or other right of any third party, and is not defamatory, harassing, threatening, fraudulent, or otherwise unlawful; and
  • your upload and display of the Performer Content complies with all applicable laws, regulations, and the terms of any third-party services or licensors involved.

You, not Tipelodeon, are responsible for any consequences of uploading Performer Content, including any claims, damages, fines, settlement amounts, attorneys' fees, statutory damages, take-down notices, account suspensions, or losses that arise from the content itself or from your lack of rights to it. Tipelodeon does not assume any duty to verify ownership, licensing, or clearance of Performer Content, and your representations in this Section 7 are a material inducement for us to make the Service available to you.

By submitting Performer Content, you grant Tipelodeon a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for technical purposes such as resizing, transcoding, and AI-assisted chart enrichment), display, distribute, and otherwise use that content solely to provide and improve the Service for you and your audience. This includes the right to display Performer Content on your public project page, in your embeds, in performance recaps, and in transactional communications related to your account. The license ends when you delete the relevant content, except to the extent we have already shared it in accordance with these Terms or are required to retain it by law.

We may remove or disable access to Performer Content at any time, with or without notice, if we believe in good faith that it violates these Terms, infringes a third party's rights, or otherwise creates legal or operational risk. Repeat infringers will have their accounts terminated as described in Section 8.

Audience Members similarly grant Tipelodeon a worldwide, non-exclusive, royalty-free license to host and display any audience profile information, messages, photos, or other content they submit, for the purpose of operating the Service. Audience Members are likewise solely responsible for the content they submit and represent and warrant that they have all rights necessary to submit it.

Tipelodeon has zero tolerance for objectionable content and abusive behavior. You must not submit, upload, post, or transmit any content that is unlawful, obscene, threatening, harassing, defamatory, hateful, or that infringes the rights of any person; this applies to every part of the Service, including song requests, dedications, display names, and notes. We may filter, remove, or refuse any content at our sole discretion, and may suspend or block any user at our discretion without notice. To report objectionable content or abuse, use the in-app report tools or contact us through our contact form . We aim to review reports and act on violations within 24 hours.

8. Copyright and DMCA

You may not upload, request, or display content that infringes someone else's copyright or other intellectual property rights. If you believe content available through the Service infringes your copyright, you (or your authorized agent) may send a notice under the Digital Millennium Copyright Act ("DMCA") that includes:

  • your physical or electronic signature;
  • identification of the copyrighted work you claim has been infringed;
  • identification of the material on the Service that you claim is infringing, in enough detail for us to locate it;
  • your contact information (address, telephone number, and email);
  • a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
  • a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.

Send notices to our designated agent at Tipelodeon, 1121 S Butler Way, Lakewood, CO 80232, or through our contact form with the subject "DMCA Notice." We may remove or disable access to allegedly infringing material and may terminate accounts of users who repeatedly infringe.

9. Acceptable Use

You agree not to:

  • use the Service for any unlawful purpose or to violate any applicable law, regulation, or contract;
  • harass, threaten, defame, or harm other users, Performers, or Audience Members;
  • upload content that is illegal, defamatory, sexually explicit involving minors, or that promotes violence, self-harm, or hate;
  • impersonate any person or entity, or misrepresent your affiliation with a Performer, venue, or organization;
  • interfere with or disrupt the Service, its servers, or networks, or attempt to bypass any rate limit, quota, or access control;
  • attempt to access accounts, data, or features that are not yours, or probe the Service for vulnerabilities outside the scope of a coordinated disclosure;
  • use automated tools, scrapers, or bots to access the Service, generate fraudulent requests, or extract data at scale;
  • send spam, phishing, malware, or unwanted commercial messages through the Service or its embeds; or
  • use the Service or its content to develop a directly competing product or to train a machine-learning model intended to replicate the Service.

10. Fair Use, Quotas, and Abuse Prevention

We may apply storage limits, AI-usage quotas, upload size limits, and rate limits to protect Service reliability. We will warn you before your account reaches a hard threshold where reasonably possible, and we may temporarily restrict uploads, AI enrichment, request flows, or other functionality if we detect unusual spikes, abuse, fraud, or activity that threatens platform stability. You may not use automated or abusive workflows to overwhelm the Service, harvest data at scale, or generate disproportionate storage, AI, or bandwidth costs.

11. Intellectual Property in the Service

The Service and its original content, features, software, designs, logos, and trademarks (excluding Performer Content and third-party content) are owned by Tipelodeon or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms and our End User License Agreement . All rights not expressly granted are reserved.

You may provide suggestions, ideas, or feedback about the Service. We may use feedback without obligation to you, and you assign to us any rights necessary for us to do so.

12. Third-Party Services

The Service integrates with third-party services, including Stripe (payments and payouts), Anthropic, Google, and OpenAI (AI processing), Amazon Web Services (hosting), Postmark and Resend (email delivery), Sentry (error monitoring), and Google's YouTube Data and Places APIs (song matching and venue lookup). Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the acts or omissions of third-party services and do not endorse any specific third-party content surfaced through the Service.

13. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, at any time and without prior notice if we reasonably believe you have violated these Terms, that your use creates legal or operational risk to Tipelodeon or other users, or that your account has been compromised. We may also suspend features, place an account under review, or block uploads and AI processing when usage materially exceeds reasonable limits or suggests fraud, abuse, or malicious activity.

You may stop using the Service at any time and may delete your account from your settings. Sections of these Terms that by their nature should survive termination (including Sections 5 through 8, 11, 14 through 18, and 20) will survive.

14. Data Archival and Retention

To manage storage costs and preserve platform reliability, we may archive derived files after extended inactivity. Our current policy is to warn account owners approximately 30 days before archival and, after roughly 12 months of inactivity, archive derived chart render images while retaining source PDFs and core metadata so they can be regenerated later. See our Privacy Policy for additional information about retention.

15. Mobile Applications and App Stores

If you download our mobile application from the Apple App Store or Google Play, you also agree to the additional terms in our End User License Agreement , including the app-store-specific provisions for Apple and Google. The app store from which you obtain the mobile application is not a party to these Terms and is not responsible for the application or its content.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE RESULTS OF USING THE SERVICE WILL MEET YOUR EXPECTATIONS. AI-ASSISTED FEATURES MAY PRODUCE INCOMPLETE, INACCURATE, OR MISLEADING OUTPUT; YOU ARE RESPONSIBLE FOR REVIEWING AI OUTPUT BEFORE RELYING ON IT.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TIPELODEON, ITS AFFILIATES, OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID TO US BY YOU IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

18. Indemnification

You agree to defend, indemnify, and hold harmless Tipelodeon and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your Performer Content or audience submissions, your violation of these Terms, or your violation of any law or third-party right.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws principles. Except for claims for injunctive or equitable relief and small-claims-court actions, any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved in the state or federal courts located in Jefferson County, Colorado, and you and we consent to the exclusive jurisdiction and venue of those courts. If any applicable law requires a different governing law or forum for consumers in your jurisdiction, that law controls to the extent required.

Before filing any claim, you agree to first contact us through our contact form and attempt to resolve the dispute informally. Any claim must be brought within one year after the claim arises; otherwise it is permanently barred, except where applicable law prohibits a shorter limitations period than the one provided by law.

20. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page and update the "Last updated" date. If the changes are material, we will provide additional notice (for example, by email to Performers or by an in-app notice) before the changes take effect. Your continued use of the Service after the effective date of the updated Terms means you accept the updated Terms.

21. Miscellaneous

These Terms, together with our Privacy Policy and End User License Agreement , are the entire agreement between you and Tipelodeon regarding the Service and supersede any prior agreements on the same subject. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, financing, or sale of assets. There are no third-party beneficiaries to these Terms, except as expressly stated in Section 15.
